Our Process

Whilst we recognize that no business or deal is the same, the following is a breakdown of our process and value add:

 

Due diligence – We understand the client’s requirements and ascertain whether there is a fit between the Helx offering and the client’s need.

If we don’t like the proposition, operators or see us not offering value to your needs, we won’t waste your or our time.

Upfront advisory – We ascertain and advise whether the requirement is better suited to our network of debt providers, equity providers or suits a hybrid structure.

Do you just need funding or would a partner offer value. If the latter, what is the most effective option to achieve your desired outcome.

Provider identification – We align your needs to our panel of debt and equity providers to identify the right solution and providers.

All capital providers have specific mandates, we check to whose mandate your requirement fits and consolidate a list. In addition, all our capital providers have signed NDA’s to provide you with the relevant comfort that your requirements are managed in a confidential manner.

IM preparation – We prepare your Investment Memorandum (“IM”) and distribute it to the chosen panel of capital allocators.

We prepare the IM in a concise and professional manner and distribute it to the right people at the chosen capital providers.

Selection advisory – We take you through the qualitative and quantitative benefits of all potential capital providers and provide you with advice about fit and suitability for your selected growth strategy.

We know how our capital providers operate and what benefits and shortcomings they bring. We assist you by unpacking these and narrowing the list down to ensure you have a concise view of the partners that will offer you value and be a good strategic fit for your company.

Introduction – We introduce you to the panel of capital providers but prepare you for the engagement with a goal in mind.

Our capital providers are close contacts of Helx and therefore value our recommendations and are eager to meet and unpack your need. In addition, we prepare you for the meetings to ensure the highest propensity for success.

Negotiation – Following receipt of the offers from the debt and equity providers, we review and then assist you with negotiating terms to ensure they meet the required outcome.

Whilst this part is always a give and take, HelX is (1) experienced in knowing what levers can be pulled and (2) close enough to our capital allocators to ensure we get you the best deal possible.

Data room – To ensure complete traceability and accountability of data, HelX uses a sophisticated data room for all the documents.

Our data room tracks and monitors all activity surrounding your documents and administers permissions. This should leave you to rest assured that the documents provided to a potential capital provider is kept confidential during and after the due diligence phase.

Contracts & Legal – Provided terms can be agreed to, HelX assists with non-legal advisory on important parts of the legal agreements. In addition, and should it be required, our panel of attorneys can also provide cost-effective and valuable legal advice, throughout this pivotal phase in the business lifecycle.

We ensure the legal documentation corresponds to the agreed terms and you aren’t left with any nasty surprises.

Post deal support – Our client is a client for life. We want to ensure we stay close to you post acquisition to ensure we can continue supporting your growth ambitions.
